Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the VALYGO NFT marketplace at nft.vyochain.com, operated by VALYGO Labs LLC (BRC: L24270), registered in Nevis, Saint Kitts and Nevis ("VALYGO," "we," "us"). By accessing or using the marketplace, you agree to these Terms. If you do not agree, do not use the marketplace.

2. Eligibility

You must be at least 18 years old to use the marketplace. By using the marketplace, you represent that you are of legal age in your jurisdiction and have the legal capacity to enter into these Terms. You are responsible for ensuring that your use of the marketplace complies with the laws of your jurisdiction.

3. The Marketplace

The VALYGO NFT marketplace is a platform that allows users to discover, list, buy, and sell non-fungible tokens (NFTs) on VALYGO NFTChain (chain ID 7773777). The marketplace uses the Seaport v1.6 protocol for on-chain settlement of trades. All transactions are settled in VYO, the native token of the VALYGO blockchain ecosystem.

We provide the interface and indexing infrastructure. We do not custody, control, or have the ability to reverse any blockchain transaction. We are not a party to any transaction between buyers and sellers.

4. Wallet and Account Security

You access the marketplace by connecting a compatible cryptocurrency wallet (such as MetaMask). You are solely responsible for maintaining the security of your wallet, private keys, and seed phrases. VALYGO has no ability to recover lost wallet credentials or reverse transactions made from your wallet. Any person with access to your wallet can initiate transactions on your behalf.

5. NFT Listings and Purchases

When you list an NFT for sale, you create a signed Seaport order specifying the item and price. This order is stored off-chain in our order book and can be fulfilled by any buyer. Once a buyer fulfills your order on-chain, the transaction is final and irreversible.

When you purchase an NFT, you submit a blockchain transaction that transfers VYO from your wallet to the seller and transfers the NFT to your wallet. You are responsible for verifying the authenticity, provenance, and value of any NFT before purchasing. VALYGO does not guarantee the value, authenticity, legality, or quality of any NFT listed on the marketplace.

6. Fees

All transactions on VALYGO NFTChain require gas fees paid in VYO. The marketplace may charge additional service fees on trades, which will be clearly displayed before you confirm any transaction. Blockchain gas fees are determined by network conditions and are not controlled by VALYGO.

7. Intellectual Property

Purchasing an NFT does not grant you intellectual property rights over the underlying artwork, media, or content unless explicitly stated by the creator. The NFT represents a token of ownership on the blockchain, not a copyright assignment. Creators retain all rights to their original work unless they explicitly transfer those rights.

You must not list NFTs containing content that infringes on third-party intellectual property rights. VALYGO reserves the right to hide or remove listings that we reasonably believe infringe on the rights of others.

8. Prohibited Conduct

You agree not to:

• Use the marketplace for any illegal purpose or in violation of applicable laws
• List counterfeit, stolen, or fraudulent NFTs
• Manipulate marketplace activity through wash trading, fake listings, or artificial volume
• Attempt to exploit, hack, or disrupt the marketplace infrastructure
• Use automated tools to scrape data or interfere with marketplace operations
• Impersonate other users or misrepresent your identity
• List content that is illegal, harmful, threatening, abusive, or promotes hatred

VALYGO reserves the right to restrict access to users who violate these Terms.

9. Risks

Using the marketplace involves significant risks. You acknowledge and accept the following:

• Cryptocurrency and NFT markets are highly volatile. The value of NFTs and VYO can fluctuate dramatically.
• Blockchain transactions are irreversible. Once confirmed, they cannot be undone.
• Smart contracts, while audited, may contain vulnerabilities. Interaction with smart contracts carries inherent risk.
• Regulatory frameworks for NFTs and digital assets are evolving and may affect the legality or availability of the marketplace in your jurisdiction.
• VALYGO NFTChain is a custom blockchain. Network downtime, forks, or technical issues could affect access to your assets.

10. No Financial Advice

Nothing on the marketplace constitutes financial, investment, legal, or tax advice. NFT purchases are speculative and you should consult qualified professionals before making decisions involving digital assets. VALYGO does not endorse or recommend any particular NFT, collection, or investment strategy.

11. Limitation of Liability

To the maximum extent permitted by law, VALYGO Labs LLC, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the marketplace, including but not limited to loss of profits, data, tokens, or NFTs, whether based on warranty, contract, tort, or any other legal theory.

The marketplace is provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless VALYGO Labs LLC and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the marketplace, your violation of these Terms, or your violation of any rights of a third party.

13. Modifications

We may modify these Terms at any time by posting the updated version on this page. Material changes will be indicated by updating the "Last updated" date. Your continued use of the marketplace after modifications constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Federation of Saint Kitts and Nevis. Any disputes arising from these Terms or your use of the marketplace shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the relevant arbitral body, with the seat of arbitration in Nevis.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary so that the remaining Terms remain in full force.
